Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and FoundriAI, Inc. ("Foundri," "we," "us," or "our") governing your use of the Foundri mobile application and all related services (collectively, the "Service"). By creating an account or using Foundri, you agree to these Terms in full. If you do not agree, do not use the Service.
1. About Foundri
Foundri is a business management platform that enables solo entrepreneurs, creators, and service providers ("Business Owners") to create a customizable public landing page, accept bookings and appointments, sell physical and digital products, and manage their business from a single iOS app. Foundri also facilitates transactions between Business Owners and their customers ("Clients").
Foundri is a technology platform and marketplace facilitator — we are not a party to transactions between Business Owners and their Clients, we do not provide the services or products that Business Owners offer, and we do not supervise or guarantee those services. See Section 4.5 for more detail.
2. Eligibility
You must be at least 18 years old to create a Foundri account. By registering, you represent that:
- You are at least 18 years of age.
- You have the legal authority to enter into these Terms.
- All information you provide is accurate and current.
- You will maintain the accuracy of your account information.
If you are registering on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
3. Accounts
3.1 Registration
You must create an account to use most features of Foundri. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@foundri.me if you believe your account has been compromised.
3.2 One Account Per Person
Each individual may maintain one Foundri account. Creating multiple accounts to circumvent a suspension or for any other reason is prohibited.
3.3 Account Accuracy
Your public Foundri page must accurately represent your business. Misleading or false representations of your services, products, qualifications, or identity are prohibited.
4. The Foundri Platform
4.1 Your Foundri Page
As a Business Owner, you may create a public-facing page ("Foundri Page") that includes your business profile, services, products, booking availability, and other content. Your Foundri Page is publicly accessible via your unique link.
4.2 The Collective
The Collective is Foundri's in-app discovery page where potential Clients can find and book Business Owners. Inclusion in the Collective is opt-in only. You may request to be added to or removed from the Collective at any time by contacting support@foundri.me.
4.3 Reviews and Ratings
Only verified Clients — those who have completed a transaction through your Foundri Page — may leave reviews. Foundri reserves the right to remove reviews that violate these Terms. Business Owners may not solicit, incentivize, or fabricate reviews.
4.4 Provider Licensing, Compliance, and Professional Responsibility
If you are a Business Owner, you represent and warrant that you possess all licenses, certifications, registrations, permits, and insurance legally required to offer the services and products you list on Foundri — including in beauty, wellness, fitness, education, consulting, coaching, and similar fields. You are solely responsible for:
- Obtaining and maintaining required professional credentials and business registrations.
- Compliance with applicable laws, regulations, and professional standards in every jurisdiction where you operate.
- Tax collection, reporting, and remittance for your sales and services.
- Consumer protection obligations, including clear refund and cancellation policies for your Clients.
- The safety, quality, and legality of the services and products you provide.
Foundri does not verify credentials, licenses, permits, certifications, insurance, or professional qualifications. Listing or booking through Foundri does not imply Foundri's approval of your business or services.
4.5 Foundri's Role as a Technology Platform
Foundri provides software tools that help Business Owners manage bookings, payments, storefronts, and client communications. To be clear about our role:
- Foundri is a technology platform, not the provider of services or products listed by Business Owners.
- Foundri does not employ, supervise, direct, or control Business Owners or how they perform services.
- Foundri does not guarantee service quality, outcomes, safety, or satisfaction.
- Foundri does not guarantee that any Business Owner holds required licenses or qualifications.
- Foundri is not responsible for the conduct of Business Owners or Clients, including disputes between them.
Any agreement for services or products is directly between the Business Owner and the Client. Foundri facilitates discovery, booking, and payment technology only.
5. Fees and Payments
5.1 Platform Fees
Foundri is free to download. Business Owners subscribe to a Starter or Pro plan (monthly or annual billing via Stripe or the Apple App Store). Each plan includes a platform transaction fee on card payments processed through Foundri:
- Starter: Subscription fee plus a 2% platform fee on Stripe-paid shop orders and bookings (in addition to Stripe processing fees).
- Pro: Subscription fee plus a 1% platform fee on Stripe-paid shop orders and bookings (in addition to Stripe processing fees). Pro may include a limited free trial; your payment method is charged automatically when the trial ends unless you cancel before then.
- Cash-Paid Bookings: No platform transaction fee is charged for appointments where payment is collected by the Business Owner outside of Foundri (e.g., in person, cash).
Foundri reserves the right to modify its fee structure with at least 30 days' notice to Business Owners.
5.2 Subscriptions (Starter and Pro)
Starter and Pro are paid subscriptions with additional features and lower transaction fees on Pro. Fees are charged through the Apple App Store or Stripe, depending on how you subscribe. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period (or before a Pro free trial ends). All subscription purchases are subject to the refund policies of the applicable platform.
5.3 Payment Processing
All payments processed through Foundri are handled by Stripe, Inc. By accepting payments through Foundri, you agree to Stripe's Connected Account Agreement and Terms of Service. Foundri is not responsible for delays, errors, or failures by Stripe.
5.4 Taxes
You are solely responsible for determining and remitting any taxes applicable to your sales and services. Foundri does not collect, withhold, or remit taxes on your behalf unless required by law.
6. Refunds and Disputes
6.1 Client Refunds
Business Owners are responsible for setting and communicating their own refund and cancellation policies on their Foundri Page. If a Client requests a refund for a booking or product purchase, the Business Owner (as the Stripe Connected Account holder) is responsible for processing that refund through Stripe.
Foundri does not issue refunds on behalf of Business Owners, and is not liable for any disputed transactions between Business Owners and their Clients.
6.2 Stripe Disputes and Chargebacks
If a Client initiates a chargeback or payment dispute through their bank or card issuer, the dispute will be handled through Stripe's standard dispute process. Business Owners are responsible for responding to disputes with appropriate evidence. Foundri may assist in providing platform-level transaction records when available.
6.3 Foundri Pro Refunds
Refund requests for Foundri Pro subscriptions are handled by Foundri directly. If you purchased through the Apple App Store, Apple's standard refund policy applies. If you purchased through Stripe, contact us at support@foundri.me to request a refund. Refunds are evaluated on a case-by-case basis.
7. Acceptable Use
7.1 You May Use Foundri To:
- Promote and sell legitimate products and services.
- Accept bookings and manage client appointments.
- Communicate professionally with your Clients.
- Customize your Foundri Page with your own original content.
- Build and grow your personal brand and business.
7.2 Prohibited Content
You may not post, upload, publish, or distribute any content on Foundri that:
- Is sexually explicit, pornographic, or nudity-based in nature.
- Contains excessive profanity or language intended to harass, demean, or intimidate others.
- Depicts or promotes graphic violence, self-harm, or abuse.
- Targets or exploits minors in any way.
- Promotes hate speech, discrimination, or violence based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Is defamatory, fraudulent, misleading, or deceptive.
- Infringes upon the intellectual property rights of any third party.
- Violates the privacy or publicity rights of any individual.
- Promotes illegal goods, services, or activities.
- Offers or advertises services that require a license, registration, or permit where you do not hold the credentials legally required to provide them.
- Sells or facilitates the sale of prescription drugs, controlled substances, or other regulated products without authorization.
- Makes medical treatment claims or offers medical services you are not licensed or authorized to provide.
- Offers counterfeit, stolen, or unlawfully sourced products.
- Displays fraudulent, forged, or misleading certifications, credentials, or professional designations.
- Offers services prohibited by applicable federal, state, local, or international law.
- Contains malware, viruses, or malicious code.
7.3 Prohibited Conduct
You may not use Foundri to:
- Scam, defraud, or deceive Clients or other users.
- Accept payment for services or products you do not intend to deliver.
- Impersonate another person, business, or entity.
- Circumvent or manipulate Foundri's fee structure.
- Attempt to reverse-engineer, hack, or disrupt the Service or its infrastructure.
- Create fake reviews or manipulate your ratings.
- Use automated tools, bots, or scrapers on the platform without Foundri's written permission.
- Violate any applicable local, state, national, or international law.
7.4 Professional and Health-Related Content
Business Owners must not use Foundri to publish misleading professional, health, wellness, beauty, or fitness content. This includes content that:
- Makes false or unsubstantiated medical, therapeutic, or health claims.
- Misstates your qualifications, licensure, training, or professional affiliations.
- Guarantees specific results, outcomes, or cures.
- Uses deceptive, manipulated, or mislabeled before-and-after images or testimonials.
Foundri may remove or disable content we reasonably believe violates this section or Section 7.2, with or without notice.
8. Content Ownership and Licenses
8.1 Your Content
You retain ownership of all content you upload or publish on Foundri, including photos, videos, product descriptions, and service listings ("Your Content"). You must own or have the necessary rights, licenses, or permissions to use and publish Your Content. You are solely responsible for ensuring you have the rights to use and publish Your Content.
8.2 License to Foundri
By posting content on Foundri, you grant FoundriAI, Inc. a non-exclusive, royalty-free, worldwide license to host, display, reproduce, and distribute Your Content solely as necessary to operate and provide the Service. This license ends when you delete the content or close your account, except where retention is required by law.
8.3 Foundri's Content
All content, features, design, and technology provided by Foundri — including the app, branding, interface, and underlying code — are owned by FoundriAI, Inc. and protected by intellectual property law. You may not copy, modify, distribute, or create derivative works from Foundri's content without our written permission.
8.4 Copyright and DMCA
Foundri respects intellectual property rights. We may remove or disable access to content we reasonably believe infringes copyright or violates these Terms, with or without notice. To report infringement, see our Copyright & DMCA Policy or submit a notice via our copyright report form. You may also email copyright@foundri.me.
Users who repeatedly infringe copyrights may have their accounts suspended or terminated, consistent with our repeat infringer policy described in that policy and Section 9.3 below.
9. Enforcement and Account Actions
9.1 Reporting Violations
If you believe a Business Owner or their content violates these Terms, you may report it to us at support@foundri.me. For copyright infringement claims, use our copyright report form or email copyright@foundri.me. We review all reports and take appropriate action.
9.2 Investigation Process
When a potential violation is reported or identified, Foundri will:
- Review the reported content or conduct.
- Assess the nature and severity of the potential violation.
- Take proportionate action based on findings (see Section 9.3).
We aim to complete reviews promptly, though complex cases may take additional time.
9.3 Enforcement Actions
Depending on the severity and nature of a violation, Foundri may take one or more of the following actions:
- Content Removal: Removing specific content that violates these Terms while keeping the account active.
- Warning: Issuing a formal warning to the account holder for minor or first-time violations.
- Temporary Suspension: Temporarily restricting access to the account pending investigation or as a consequence of moderate violations.
- Permanent Deactivation: Permanently closing an account for severe, repeated, or harmful violations — including fraud, exploitation of minors, repeat copyright infringement, or conduct that causes harm to other users.
Foundri reserves the right to act immediately and without prior notice in cases where continued access poses a risk of harm to users, Clients, or the platform.
9.4 Appeals
If your account has been suspended or deactivated and you believe the decision was made in error, you may submit an appeal within 30 days of the action by emailing support@foundri.me with the subject line "Account Appeal." Include your account information and a clear explanation of why you believe the action was incorrect. Foundri will review your appeal and respond within a reasonable timeframe. Appeal decisions are final.
10. Termination
10.1 By You
You may close your account at any time by contacting support@foundri.me or using the account deletion feature in the app. Closing your account does not entitle you to a refund of any transaction fees already collected. Outstanding obligations to your Clients (unfulfilled orders, upcoming bookings) remain your responsibility.
10.2 By Foundri
Foundri may suspend or terminate your account at any time, with or without notice, for violations of these Terms, non-payment, fraud, or any other conduct we determine to be harmful to the platform or its users. We may also discontinue the Service entirely with reasonable notice.
10.3 Effect of Termination
Upon termination, your access to the Service ends and your Foundri Page becomes inactive. Sections of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and dispute resolution — will continue to apply.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FOUNDRI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11.1 Platform and Marketplace Disclaimers
Foundri is a technology platform that enables Business Owners to operate their businesses online. Except as expressly stated in these Terms:
- Foundri is not the seller or provider of services or products offered through Business Owner pages.
- Foundri does not supervise, direct, or control how Business Owners perform services or fulfill orders.
- Foundri does not guarantee the quality, safety, legality, or accuracy of any listing, review, or transaction.
- Foundri does not verify Business Owner licenses, insurance, credentials, or professional qualifications.
- Foundri is not responsible for the actions or omissions of Business Owners or Clients.
You use Foundri and interact with other users at your own risk. Foundri is not responsible for the actions, content, products, or services of any Business Owner or Client using the platform.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDRIAI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT WILL FOUNDRI'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FOUNDRI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless FoundriAI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Boston, Massachusetts. You waive any right to a jury trial or to participate in a class action lawsuit against Foundri.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via the app or by email at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
16. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Foundri regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
- No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our consent. We may assign our rights freely.
